    1. About These Terms

    These Terms of Use govern your access to and use of the websites, platforms, and services provided by CardiAction Pty Ltd (ABN 41 619 022 141). Throughout these Terms, "CardiAction", "we", "us", and "our" refer to CardiAction Pty Ltd.

    By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you should stop using our Services immediately.

    These Terms apply to all users of our Services, including visitors to our websites, individuals who book or attend cardiovascular screening appointments, and authorised users of our software platforms.

    2. Our Services

    CardiAction provides cardiovascular health screening technology and services. Our Services include:

    • CardiAction Website (www.cardiaction.com): Our public website providing information about CardiAction, our technology, screening services, and partner organisations.
    • PreScreen: A free, publicly accessible online cardiovascular risk assessment tool. PreScreen provides an indicative risk estimate based on self-reported information. It does not involve any medical device or clinical measurement.
    • ProScreen: A cloud-based software platform used by authorised screening organisations to conduct, manage, and report on cardiovascular health screenings using the Uscom BP+ medical device. ProScreen is not available to the general public and is accessed by organisations under licence from CardiAction.
    • BookNow: An online booking system that allows members of the public to book cardiovascular screening appointments at participating pharmacy and clinic locations operated by our screening partners.

    Our screening services are delivered through authorised screening partner organisations, including CardiAction Screening Australia Pty Ltd (CSA) and Health Screening NZ Ltd (HSNZ), who operate cardiovascular screening clinics at pharmacy and clinic locations across Australia and New Zealand.

    3. Not Medical Advice

    CardiAction provides cardiovascular wellness screening services. Our screenings are designed to provide an indicative cardiovascular risk assessment based on biometric measurements. They are not a substitute for a professional medical diagnosis, treatment, or medical advice.

    Specifically:

    • CardiAction screenings do not provide a medical diagnosis.
    • Screening results should not be relied upon as the sole basis for making health decisions.
    • You should always consult a qualified healthcare professional regarding any concerns about your cardiovascular health or before making changes to medication, diet, or exercise.
    • PreScreen results are based entirely on self-reported information and provide only a general indicative risk estimate. They are not a clinical assessment.

    Neither CardiAction nor its screening partners, employees, contractors, or affiliates accept liability for health decisions made on the basis of screening results. If you receive a result that concerns you, please consult your general practitioner or another qualified healthcare provider.

    4. Eligibility

    Our Services are intended for individuals aged 18 years and over. By using our Services, you represent that you are at least 18 years of age. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian.

    If you are accessing ProScreen as an authorised user of a screening partner organisation, your access is subject to both these Terms and any separate agreement between your organisation and CardiAction.

    5. Accounts and Access

    5.1 ProScreen Platform Access

    Access to ProScreen is by invitation only and is provided through authorised screening partner organisations. If you are issued login credentials for ProScreen, you are responsible for maintaining the confidentiality of your account details and for all activity that occurs under your account.

    You must:

    • Keep your login credentials secure and not share them with any other person.
    • Notify your organisation administrator and CardiAction immediately if you become aware of any unauthorised use of your account.
    • Log out of your account when not in use, particularly on shared or public devices.

    5.2 BookNow

    When booking a screening appointment through BookNow, you may be asked to provide personal information including your name, contact details, and relevant health information. You must ensure that the information you provide is accurate and complete.

    5.3 PreScreen

    PreScreen is freely accessible without creating an account. Information you provide through PreScreen is used to generate your indicative risk assessment and, where you consent, to offer you a screening appointment through BookNow.

    6. Acceptable Use

    When using our Services, you agree that you will not:

    • Use the Services for any unlawful purpose or in a manner that breaches any applicable law or regulation.
    • Attempt to gain unauthorised access to any part of the Services, other user accounts, or any systems or networks connected to the Services.
    • Interfere with or disrupt the integrity, security, or performance of the Services.
    • Use any automated means (including bots, scrapers, or crawlers) to access or collect data from the Services without our prior written consent.
    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in the Services.
    • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
    • Upload or transmit any malicious software, viruses, or harmful code.
    • Use the Services to collect, store, or process personal information of other individuals except as expressly authorised and in compliance with applicable privacy laws.

    We reserve the right to investigate any suspected breach of these Terms and to take appropriate action, including suspending or terminating access to the Services.

    7. Intellectual Property

    All intellectual property in and relating to the Services, including the CardiAction website, PreScreen, ProScreen, BookNow, and all associated content, software, source code, databases, designs, text, graphics, logos, and trademarks, is owned by CardiAction Pty Ltd or licensed to CardiAction and is protected by Australian and international intellectual property laws.

    You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose, subject to these Terms. This licence does not transfer any ownership rights to you.

    You may not, without CardiAction's prior written consent:

    • Copy, reproduce, modify, adapt, or create derivative works from any part of the Services.
    • Distribute, publish, sell, licence, or otherwise make available any content from the Services to third parties.
    • Use the CardiAction name, logo, or trademarks in any manner that suggests endorsement or affiliation without written authorisation.
    • Remove or alter any proprietary notices, labels, or marks on the Services.

    8. Third-Party Services and Links

    Our Services may contain links to third-party websites or integrate with third-party services. These include, but are not limited to, payment processing, appointment scheduling, email communications, and analytics services.

    CardiAction does not control and is not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is subject to their own terms and conditions and privacy policies. We encourage you to review those terms before using any third-party service accessed through our platform.

    9. Payments and Fees

    If you book a cardiovascular screening through BookNow, payment for the screening service is processed by the relevant screening partner organisation (such as CSA or HSNZ) through their nominated payment provider. CardiAction does not directly collect screening fees from individuals.

    Refund and cancellation policies for screening appointments are determined by the screening partner organisation that provides your screening. Please refer to the booking confirmation or contact the relevant screening partner for details.

    10. Privacy and Data Protection

    We take the privacy and security of your personal information seriously. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is available at www.cardiaction.com/privacy-policy.

    By using our Services, you consent to the collection and use of your information as described in our Privacy Policy. Our Privacy Policy forms part of these Terms.

    11. Disclaimers

    To the maximum extent permitted by law:

    • The Services are provided on an "as is" and "as available" basis. CardiAction does not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
    • CardiAction makes no warranties, whether express, implied, or statutory, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any information or content provided through the Services.
    • While we take reasonable steps to ensure the security of the Services, we cannot guarantee that the Services will be free from all security vulnerabilities.

    Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee or right that applies under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), the New Zealand Consumer Guarantees Act 1993, or any other applicable consumer protection legislation that cannot be lawfully excluded.

    12. Limitation of Liability

    To the maximum extent permitted by applicable law:

    • CardiAction's total aggregate liability to you for any claims arising out of or in connection with these Terms or your use of the Services is limited to the amount you paid to CardiAction (if any) in the 12 months preceding the claim.
    • CardiAction is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, whether arising in contract, tort (including negligence), statute, or otherwise.
    • CardiAction is not liable for any loss or damage arising from circumstances beyond our reasonable control, including but not limited to failures of internet connectivity, third-party service outages, natural disasters, or acts of government.

    These limitations apply to CardiAction, its directors, officers, employees, contractors, agents, and affiliates.

    This clause does not limit any liability that cannot be limited under applicable law, including under the Australian Consumer Law or the New Zealand Consumer Guarantees Act 1993.

    13. Indemnification

    You agree to indemnify and hold harmless CardiAction, its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

    • Your use of the Services in breach of these Terms.
    • Your violation of any applicable law or regulation.
    • Any content or information you provide through the Services that is inaccurate, misleading, or infringes on the rights of any third party.

    14. Suspension and Termination

    CardiAction may suspend or terminate your access to any part of the Services at any time, with or without notice, if we reasonably believe that you have breached these Terms, if required by law, or for any other reason at our discretion.

    If your access to ProScreen is provided through a screening partner organisation, your access may also be suspended or terminated by that organisation in accordance with their agreement with CardiAction.

    Upon termination, your right to access and use the Services ceases immediately. Any provisions of these Terms that are intended to survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.

    15. Modifications to Services and Terms

    CardiAction reserves the right to modify, update, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

    We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this document. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms.

    We encourage you to review these Terms periodically.

    16. Dispute Resolution

    If you have a dispute with CardiAction in relation to these Terms or the Services, you agree to first attempt to resolve the dispute by contacting us at info@cardiaction.com. We will use reasonable efforts to resolve any dispute informally and in good faith.

    If the dispute cannot be resolved informally within 30 days, either party may refer the dispute to mediation before commencing any court proceedings, unless the dispute relates to urgent injunctive or interim relief.

    17. Governing Law and Jurisdiction

    These Terms are governed by and construed in accordance with the laws of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, for the resolution of any disputes arising under or in connection with these Terms.

    If you access the Services from New Zealand, the laws of New Zealand may also apply to the extent required by the New Zealand Consumer Guarantees Act 1993 or other mandatory New Zealand legislation.

    18. General Provisions

    Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect.

    Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CardiAction in relation to your use of the Services, and supersede all prior agreements, representations, and understandings.

    Waiver: A failure by CardiAction to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

    Assignment: You may not assign or transfer your rights or obligations under these Terms without CardiAction's prior written consent. CardiAction may assign its rights and obligations under these Terms without your consent.
